Operated by Alokin Technology LLC ("Alokin," "we," "us," "our").
0. Definitions
"Platform" — the Alokin software application(s), website(s), APIs, and all related products and features, including Ticket, Chain, PackTrack, the AI Agent, and any market-intelligence, matching, trust-scoring, or supply-chain features.
"User," "you," "your" — the business entity, and the individuals acting on its behalf, that registers for or uses the Platform.
"Content" — any data, text, information, scores, matches, summaries, insights, or other output displayed on or generated by the Platform.
"User Content" — any data, information, or material you submit, upload, or enter into the Platform.
"Subscription" — your paid right to access the Platform during a billing period.
"Transaction" — any deal, purchase, sale, shipment, transfer, or agreement between Users facilitated through the Platform.
1. Acceptance of These Terms
By creating an account, clicking "I agree," or accessing or using the Platform in any way, you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference. If you are agreeing on behalf of a business, you represent that you are authorized to bind that business. If you do not agree, do not use the Platform.
2. Eligibility
By creating an account, you represent and warrant that:
You are at least 18 years of age. You are a duly formed and validly existing business entity (or an authorized owner, officer, employee, or agent acting on behalf of one). You hold, and will maintain in good standing for the entire time you use the Platform, all licenses, permits, and registrations required by applicable law to conduct your business activities. All information you provide — including business identity and contact details — is true, accurate, and current, and you will keep it updated.
3. Compliance With Applicable Laws
You agree, at all times and at your sole expense, to comply with all applicable federal, state, and local laws, rules, and regulations governing your business and your use of the Platform. You are solely responsible for determining what is legal for you to do in your jurisdiction, and for ensuring every action you take through or in connection with the Platform is lawful.
4. The Platform Is Software Only — Alokin Is Not a Party to Any Transaction
Alokin is an information, intelligence, and software platform. Alokin does not:
Buy, sell, broker, distribute, possess, store, handle, or transport any goods or products; facilitate, process, collect, hold, transmit, or take any cut, commission, or fee from any payment or consideration exchanged between Users; become a party to, guarantee, or take responsibility for any Transaction, deal, agreement, or communication between Users; verify or guarantee the accuracy, quality, or fitness of any product, User, or counterparty.
Alokin's sole commercial relationship with you is the subscription fee you pay us for access to the software. Alokin earns no revenue from, and has no economic interest in, any Transaction between Users. Any deal, sale, purchase, shipment, payment, or agreement you enter into is solely between you and the other party. Features such as matching scores, trust scores, and market intelligence are informational tools only — you are solely responsible for independently verifying any counterparty and the terms of any deal before acting.
5. Account Registration & Security
You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately of any unauthorized access. You may not share your account, sell access, or allow unauthorized users to access it. We may verify your identity and business information at any time, and may refuse, suspend, or revoke access if we cannot verify them.
6. Prohibited Conduct
You agree that you will not, and will not allow anyone using your account to:
Use the Platform for any illegal purpose or in violation of any applicable law or regulation; provide false, misleading, or fraudulent information; use the Platform to launder money or process proceeds of unlawful activity; misrepresent yourself, another User, or any product or service; circumvent, disable, or interfere with the Platform's privacy, permission, or security controls; scrape, reverse-engineer, copy, or build a competing product from the Platform; use the Platform to harass, defraud, or harm another User.
Violation of this section is grounds for immediate suspension or termination.
7. Subscription, Fees & Billing
7.1 Subscription. Access to the Platform requires a paid Subscription billed on a recurring monthly (or other stated) basis. By subscribing, you authorize Alokin and its third-party payment processor to charge your payment method the then-current fee for each billing period.
7.2 Auto-Renewal. Your Subscription automatically renews at the end of each billing period at the then-current rate until you cancel.
7.3 Cancellation. You may cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You retain access until then.
7.4 No Refunds. Except where required by law, all fees are non-refundable, including for partial periods, unused access, or features you did not use.
7.5 Price Changes. We may change Subscription prices on notice before your next renewal. Continued use after a price change takes effect constitutes acceptance.
7.6 Taxes. Subscription fees are exclusive of applicable taxes, which are your responsibility.
7.7 Payment Processing. All payments are handled by a third-party payment processor. Alokin does not store full payment-card data. Your use of payment processing is subject to the processor's terms.
8. Taxes
You are solely responsible for determining, collecting, reporting, and paying all taxes of any kind arising from your business and your use of the Platform. Alokin does not calculate, collect, withhold, or remit any such taxes on your behalf, and is not your tax advisor.
9. License to Use the Platform; Intellectual Property
9.1 License to You. Subject to these Terms and your active Subscription, Alokin grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes. This is a license, not a sale; no ownership transfers to you.
9.2 Alokin's IP. The Platform, including all software, design, text, scores, algorithms, trademarks ("Alokin," the Alokin marks, "Ticket," "Chain," "PackTrack"), and all related intellectual property, is owned by Alokin and protected by law. You receive no rights except the limited license above.
9.3 Your User Content. You retain ownership of your User Content. You grant Alokin a worldwide, non-exclusive, royalty-free license to host, store, process, display, and use your User Content to operate, secure, and improve the Platform, and to generate anonymized and aggregated analytics and market intelligence that do not identify you. We will not sell your identifiable User Content.
9.4 Feedback. Any suggestions or feedback you give us may be used by Alokin without restriction or obligation to you.
10. No Legal, Tax, Financial, or Compliance Advice
The Platform and all Content within it — including matching results, market intelligence, pricing data, trust indicators, and any AI-generated output — are provided for informational purposes only and do not constitute legal, tax, financial, accounting, regulatory, or compliance advice. You should consult your own licensed professionals before making any decision. You are solely responsible for your own compliance and business decisions.
11. AI-Generated Content Disclaimer
The Platform uses artificial intelligence to generate matches, summaries, insights, and other output. AI output may be incomplete, inaccurate, or out of date, and must not be relied upon as a statement of fact or as advice. You are responsible for independently verifying any AI-generated information before acting on it.
12. Third-Party Services & Users
The Platform may interoperate with or link to third-party services, and connects you with other Users. Alokin does not control and is not responsible for third-party services or the conduct, statements, or products of any other User. Any dealings between you and a third party or another User are solely between you and them.
13. Assumption of Risk
You understand and accept that business transactions carry inherent legal, financial, and operational risks. You assume all such risks. You use the Platform, and engage with other Users and any deals, entirely at your own risk.
14. Disclaimer of Warranties
The Platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or accuracy, or that the Platform will be uninterrupted, error-free, or secure. Alokin does not warrant the accuracy, completeness, or reliability of any User, product, deal, score, or piece of information on the Platform.
15. Limitation of Liability
To the maximum extent permitted by law, Alokin and its owners, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, product, or business opportunity, arising out of or related to your use of the Platform, any Transaction with another User, or any act or omission of any User — even if Alokin has been advised of the possibility of such damages.
To the maximum extent permitted by law, Alokin's total aggregate liability for all claims arising out of or related to the Platform will not exceed the greater of (a) the total amount you paid Alokin in the twelve (12) months before the claim arose, or (b) one hundred U.S. dollars ($100).
16. Indemnification
You agree to defend, indemnify, and hold harmless Alokin and its owners, officers, employees, contractors, and affiliates from and against any and all claims, demands, investigations, actions, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) any Transaction or communication you enter into with another party; (c) your violation of any law or regulation; (d) your breach of these Terms; or (e) any false or inaccurate information you provide. This obligation survives termination of your account.
17. Suspension, Termination
Alokin may suspend or terminate your account at any time, with or without notice, including if we believe you have violated these Terms, provided false information, or engaged in unlawful activity. You may stop using the Platform at any time. On termination, your license ends and we may delete or retain your data as described in the Privacy Policy and applicable law.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules.
19. Changes to These Terms
Alokin may update these Terms at any time. We will post the updated version with a new "Last Updated" date and, for material changes, provide reasonable notice. Your continued use of the Platform after an update means you accept the revised Terms.
20. International Use & Data Transfer
The Platform may be accessed from countries around the world. You are solely responsible for complying with all laws of every jurisdiction in which you operate. The Platform is operated from the United States, and your data may be stored and processed there. By using the Platform, you consent to the transfer, storage, and processing of your information in the United States and other jurisdictions. Where data-protection laws such as the EU/UK GDPR apply, you are responsible for ensuring your use of the Platform complies with those laws.
21. Export Controls & Sanctions
You represent and warrant that you are not, and are not acting on behalf of, any person or entity subject to comprehensive sanctions or embargo, or identified on any restricted-party or denied-persons list maintained by any government (including OFAC, the UN, EU, or UK). You agree not to use the Platform in violation of any applicable export control, sanctions, anti-money-laundering, or anti-corruption laws.
22. Severability
If any provision of these Terms is found unlawful or unenforceable in any jurisdiction, that provision will be limited or removed to the minimum extent necessary only in that jurisdiction, and all remaining provisions remain in full force and effect.
23. Entire Agreement
These Terms and the Privacy Policy are the entire agreement between you and Alokin regarding the Platform and supersede all prior agreements and understandings.
24. Assignment
You may not assign or transfer these Terms without our prior written consent. Alokin may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
25. No Waiver
Our failure to enforce any provision is not a waiver of our right to enforce it later.
26. Force Majeure
Alokin is not liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, outages, network failures, changes in law, or government action.

28. SMS Messaging Program Terms
Program name: Alokin Account Security SMS.
Program description: If you provide a mobile phone number, Alokin may send you text messages related to account security — including one-time sign-in codes, step-up verification codes for sensitive actions, and account recovery codes. These messages are transactional only. Alokin does not send marketing or promotional text messages.
Consent: Alokin's primary sign-in method is Signal. If you do not use Signal, you may request an SMS fallback code: on the sign-in screen, you enter your mobile phone number and tap "Send SMS Fallback Code." Tapping this button is the action by which you consent to receive that one-time SMS message. This same phone-number-entry-plus-button-tap flow applies to step-up verification and account recovery. Consent to receive SMS is not a condition of purchasing any goods or services.
Message frequency: Message frequency varies and is triggered by your account activity (for example, each time you sign in or take a sensitive action). You will not receive more than 5 messages per phone number per hour.
Message and data rates may apply. Message and data rates may apply depending on your mobile carrier and plan.
Opt-out: Reply STOP at any time to a message to opt out of further texts. Reply START to resume. Opting out of SMS means you will need to use an alternate sign-in method (such as email) to access your account.

Carriers are not liable for delayed or undelivered messages. Supported carriers may change without notice.
